This site is operated by the brand Carotte & Cie – a sole proprietorship, with its registered office at 61 boulevard de Strasbourg, 59100 Roubaix (France), and registered with the Chamber of Trades under number 750 386 302 00020.
These general terms and conditions of sale apply to all orders placed with Carotte & Cie for all items and services offered on the website www.carotteetcie.com by non-commercial individuals. Consequently, any person who orders a product offered for sale on the website www.carotteetcie.com fully accepts these general terms and conditions of sale, which the Client acknowledges having read prior to placing their order.
Carotte & Cie reserves the right to modify these general terms and conditions of sale at any time. Nevertheless, the General Terms and Conditions of Sale applicable to an order placed by a Client on the www.carotteetcie.com website are those accepted by the Client at the time of placing their order.
The website www.carotteetcie.com is the exclusive property of Carotte & Cie, as are all related rights.
Any reproduction, in whole or in part, is prohibited without the express prior authorization of Carotte & Cie.


Article 1: Entirety

These General Terms and Conditions express the entirety of the parties' obligations. In this sense, the Client is deemed to unreservedly accept all the provisions set forth in these general terms and conditions of sale.
Carotte & Cie undertakes, for its part, to fulfill its role as a reseller within the framework of these conditions.


Article 2: Purpose

The purpose of these General Terms and Conditions is to define the rights and obligations of the parties within the framework of the online sale of goods and services offered by Carotte & Cie to the Client, from the order to delivery, including payment and the use of services made available by Carotte & Cie.


Article 3: Entry into force – Duration

These General Terms and Conditions govern the sale of products on the day the order is placed by the customer. They apply to all order placement methods offered by Carotte & Cie, whether the order was placed via the internet, email, or telephone.


Article 4: Order Confirmation

Capacity to contract
Any Client of Carotte & Cie declares to have the capacity to contract under the conditions described below, meaning being of legal age or emancipated and not being protected within the meaning of Article 488 of the Civil Code.
Carotte & Cie reserves the right to refuse any Order from a Client with whom a dispute exists or appears during the order processing, particularly a payment dispute.


Acceptance of Conditions by the Client
These Conditions can be read directly on the website www.carotteetcie.com.
Upon simple request, they can be sent by email.
The Client's action of checking the box "I accept the general terms and conditions of sale", before proceeding to secure payment, constitutes an irrevocable acceptance that can only be challenged in the cases restrictively provided for in these general terms and conditions of sale under the paragraph "right of withdrawal". By this act, the Client acknowledges having read and understood these conditions and accepts them.
Purchasing by telephone or email also implies acceptance of these Conditions, which the Client acknowledges having previously read, understood, and accepted under the conditions mentioned above.


Placing an order
The individual Client can place their order with Carotte & Cie via the internet 24/7.
The ordering process consists of 6 successive steps. Once the product selection is made and the cart is validated, the Client must:
• – clearly identify the selected products with the color and pattern options indicated on the website contact-rs@carotteetcie.com;
• – indicate the requested quantities;
• – identify themselves either by entering their email address and password, which are strictly personal to them, or by providing all the information usually requested for online registration;
• – clearly indicate the information necessary for delivery. This concerns in particular the precise delivery address and any accessibility restrictions of the delivery location (building, floor, digicode, etc.);
• – indicate the chosen delivery method;
• – finally, indicate the chosen payment method.
Once the payment method is selected, the Client must proceed with the payment of their order on the secure interface, which will formally and definitively establish the sales contract binding them to Carotte & Cie.
Any order implies acceptance of the prices and description of the products available for sale. Any dispute on this point will occur within the framework of a possible exchange and the guarantees mentioned below.
In all cases, the online provision of the credit card number and the final validation of the order by the Client will constitute proof of the order and the enforceability of the sums for the products selected in the order. This validation constitutes a signature and acceptance of all operations carried out on the www.carotteetcie.com website.


Order Confirmation
An email is automatically sent to the customer to confirm the order, provided that the email address indicated in the registration form does not contain any errors.
The Client must verify the completeness and accuracy of the information they provide to Carotte & Cie. The latter cannot be held responsible for any input errors and the consequences in terms of delay or delivery error. In this context, all costs incurred for re-shipment will be borne by the Client.


Order Tracking
The customer can at any time consult the status of their order processing in the "My Account" section on the www.carotteetcie.com website. The customer is thus informed of the shipping or delivery status of their package. Carotte & Cie tracks the delivery status using La Poste's online tracking tools. The customer can also contact Carotte & Cie to inquire about their order tracking or contact La Poste directly. The Colissimo tracking number will be provided to the customer upon request to contact-rs@carotteetcie.com.


Proof of order
Order forms and invoices are archived on a reliable and durable medium that can be produced as proof.


Article 5: Product Information

Product Characteristics
The information, characteristics, photographs, and graphics presented on the websites or in emails sent by Carotte & Cie are given for illustrative purposes only and are not contractual. In particular, any difference in the perception of shapes and colors between the photographs or graphics presented and the products cannot engage the responsibility of Carotte & Cie.
Carotte & Cie will make its best efforts to ensure that the photographic representation of the products on the www.carotteetcie.com website is as accurate as possible. Nevertheless, it is possible that the perception of the product(s) may not fully correspond to the actual products. Products are sometimes presented in photographs with other products. The description will mention what is or is not part of the product.
Carotte & Cie shall not be liable for any indirect damages arising from these terms, including but not limited to loss of business, loss of profit, loss of opportunity, damages or expenses, which may arise from the purchase of the products. Carotte & Cie shall not be responsible for any loss of data, files, or damages as defined in the preceding paragraph.


Product Availability
Carotte & Cie undertakes to fulfill received orders only within the limits of available product stock. In the absence of availability of the Product(s), Carotte & Cie undertakes to inform the Client as soon as possible and to offer a refund or an exchange for another product (excluding personalized products and cut fabric).
Availability may vary within the same day depending on the level of sales. Carotte & Cie updates availabilities very frequently, but cannot be held responsible if the stock is no longer the same as indicated. More precise information can be given to the Client by phone and email.
If Carotte & Cie no longer has stock of a product, the company will notify the customer of the expected delay by email. The customer may then request a refund of the sums paid within 14 days at the latest from their payment, or an exchange of the unavailable product for another product, or the cancellation of the order. No cancellation penalty will be applied for such an order cancellation. No cancellation compensation (other than a full refund of the Order) can also be claimed, such unavailability resulting from the update delay of these availabilities.
Carotte & Cie cannot be held responsible for the non-performance of the concluded contract in case of stock shortage or product unavailability, force majeure, disruption or total or partial strike, particularly of postal services and means of transport and/or communications, flood, fire.


Article 6: Price

Prices are indicated in euros, All Taxes Included (TTC), and are only applicable on the date of sending the order validation by the Client.
Prices do not include delivery costs, possible promotional offers, and personal discounts, which are indicated before the final order validation.
Prices include the French VAT applicable on the day of the order, and any change in the legal VAT rate will automatically be reflected in the price of products presented on the site, on the date stipulated by the implementing decree. However, prices cannot be modified once the Client's order has been placed. Similarly, if one or more taxes or contributions were to be created or modified, whether upwards or downwards, this change may be reflected in the selling price of items present on the website www.carottetcie.com.


Article 7: Payment

Payment methods
The Client can pay for their order online by credit card via Paypal (Carte Bleue, Visa, Eurocard-Mastercard, American Express, and E-carte bleue), by Paypal (with an account), by check, or by bank transfer. The Client guarantees Carotte & Cie that they have the necessary authorizations to use the chosen payment method when validating the order form. Purchases are debited from the customer's account at the time the order is processed.
Carotte & Cie reserves the right to suspend any order processing and any delivery in the event of refusal of payment authorization by credit card from officially accredited organizations or in the event of non-payment. Carotte & Cie notably reserves the right to refuse to make a delivery or to honor an order from a Client who has not fully or partially paid a previous order or with whom a payment dispute is ongoing.
As part of an order verification procedure aimed at ensuring that no one uses another person's bank details without their knowledge, the Client may be asked to send Carotte & Cie by email a copy of an identity document and proof of address. The order will only be validated after receipt and verification of the submitted documents by our services. In the absence of receipt of these documents within 15 days following the order placement, the order will be deemed automatically canceled.


Invoice
The order form that the Client creates online or the order confirmation sent by email to the Client by Carotte & Cie does not constitute an invoice. The invoice is enclosed with the package.
Carotte & Cie keeps an electronic copy of each invoice.


Transfer of ownership
Carotte & Cie remains the owner of the Products delivered until their full payment by the Client. The above provisions do not preclude, upon delivery of the Products, the transfer to the Client of the risks of loss or deterioration of the Products subject to retention of title, as well as any damage they may cause.


Article 8: Delivery

Delivery Zones
The geographical delivery area for the carotteetcie.com offer is as follows:
– France and overseas departments/territories: mainland France, Corsica, Guadeloupe, Guyana, Martinique, Monaco, New Caledonia, French Polynesia, Saint Barthélemy, Saint Martin
– Europe: Germany, Belgium, Spain, Italy, Luxembourg, Netherlands, Portugal, United Kingdom, Switzerland

The Client can contact Carotte & Cie's customer service for more information on delivery conditions to a specific country worldwide.
Orders destined for countries outside the European Union are not subject to French VAT. However, they are subject to any applicable taxes and customs fees of the destination country. These costs and related formalities are the responsibility of the client/recipient. They must be paid directly to the carrier upon delivery.
The customer is also responsible for verifying the possibility of importing the ordered products in light of the laws of the delivery country. We recommend contacting the Customs Department for more information.
Delivery services
Products are delivered to the address indicated by the Client when placing the order. The Client must verify the completeness and accuracy of the information they provide to Carotte & Cie. The latter cannot be held responsible for any input errors and the consequences in terms of delay or delivery error. In this context, all costs incurred for the re-shipment of the order will be entirely borne by the Client.
Carotte & Cie cannot be held responsible for delivery delays due to errors or disruptions attributable to carriers (including, in particular, in the event of a total or partial strike of postal services and means of transport and/or communications).


Shipping Times
Orders placed online via the www.carotteetcie.com website are processed daily from Monday to Friday, excluding public holidays. Carotte & Cie makes every effort to process and ship within an average of 5 working days (excluding out-of-stock situations and exceptional circumstances). Upon receipt of the shipping confirmation email, the Client can take into account the carrier delivery times announced below.
Carotte & Cie informs its Clients that these shipping times do not include Saturdays, Sundays, and public holidays.
In the case of an order that includes one or more unavailable products as well as one or more available products, Carotte & Cie ships the order upon receipt of all products that constitute the order. If the Client wishes to receive immediately available products as soon as possible, they are advised to isolate these items in a separate specific order.
An email is automatically sent to the Client at the time of Product shipment, provided that the email address indicated in the registration form does not contain any errors.


Transit Times
Transit times depend on the carrier chosen by the Client and the delivery location.
Carotte & Cie informs Clients, for informational purposes, of the times announced to them by the chosen carrier. Shipping costs are calculated based on the delivery country at the time of checkout and are definitively confirmed based on the shipping method and delivery destination chosen, before the final validation of the order.
However, Carotte & Cie informs its Clients that the announced times do not include Saturdays, Sundays, and public holidays.


Delivery Time
Delivery times can be as follows:
– If the products are available, the delivery time is equal to the shipping time (shipping times paragraph) plus the transit time (transit times paragraph);
– If the products are not available, the delivery times from the Carotte & Cie workshop are added to the order's shipping and transit times.
If it turns out that the shipping time cannot be met, a new time will then be communicated to the Client, based on the information known to Carotte & Cie. In this case, a proposal for order cancellation, credit, or refund will also be made to the Client.


Delivery methods in mainland France
• Standard delivery by Colissimo (usually 48-hour delivery time)
This delivery method allows the Customer to receive their package within 48 hours of shipment via La Poste and the Colissimo expert service (excluding order processing and preparation time, which can take 1 to 2 days). Deliveries are made from Monday to Saturday morning, except on public holidays. The costs for this option depend on the total weight and volume of the items ordered.
The package is handled by La Poste and delivered against signature to the delivery address indicated by the Customer. In case of absence during delivery, a delivery notice is left at the delivery address indicated by the Customer, allowing them to collect their package from the nearest post office. Packages are held at the post office for 15 calendar days. In case of non-collection within the time limits set by the carrier, the products will be returned to Carotte & Cie, which reserves the right to refund the price of the products, with shipping costs remaining at the Customer's expense.

• Delivery by Mondial Relay. This delivery method allows the Customer to receive their package at a lower cost. Deliveries are made from Monday to Saturday, except on public holidays. The package is picked up from a locker or an authorized Mondial Relay merchant and delivered to the Customer. The Customer must ensure that they provide an address, a phone number, and an email address when placing their order so that they can be notified of the arrival of their package at the relay point. Mondial Relay packages are kept at the merchant's location for a maximum of 7 calendar days. In case of non-collection within the time limits set by the carrier, the products will be returned to Carotte & Cie, which reserves the right to refund the price of the products, with shipping costs remaining at the Customer's expense.

• Express delivery by Chronopost (usually 24-hour delivery time)
(Upon request with an additional cost)
This delivery method allows the Customer to receive their package within 24 hours of shipment via Chronopost (excluding order processing and preparation time, which can take 1 to 2 days). Deliveries are made from Monday to Friday, except on public holidays. The costs for this option depend on the total weight and volume of the items ordered.
The package is handled by Chronopost and delivered against signature to the delivery address indicated by the Customer. The Customer must ensure that they provide details of access to the delivery location (code, building, floor, door, etc.), as well as a phone number where they can be easily reached. In case of absence, a delivery notice is left at the delivery address indicated by the Customer, allowing them to collect their package at the address and according to the terms indicated by the carrier. Packages are held at the post office for 15 calendar days. In case of non-collection within the time limits set by the carrier, the products will be returned to Carotte & Cie, which reserves the right to refund the price of the products, with shipping costs remaining at the Customer's expense.


Delivery methods outside mainland France.
In Europe and internationally, delivery is made via various carriers: Colissimo, Chronopost, UPS, etc. The costs incurred depend on the country of destination, the total weight, and the volume of the selected items. The costs and delivery times are indicated to the Customer before the final validation of their order.
Orders destined for countries outside the European Union are not subject to French VAT. However, they are subject to any customs duties and fees of the destination country. These costs and related formalities are the responsibility of the customer/recipient. They must be paid directly to the carrier upon delivery.
The customer is also responsible for checking the possibilities of importing the ordered products with regard to the law of the delivery country. We recommend contacting the Customs Service for more information.


Packaging and damaged packages
Products are packaged in compliance with current transport standards and to ensure optimal protection of the products during delivery. The Customer is requested to comply with these same standards when returning a product, whether for after-sales service or for a return for convenience. In the event of a product return, if we find that the product is returned to us damaged due to insufficient packaging, Carotte & Cie may decide to partially refund the product or refuse to refund it if it cannot be resold as is.
Customer responsibility for checking packages upon receipt
Carotte & Cie reminds the Customer that it is their responsibility to inspect their packages upon receipt in the presence of the delivery person and to immediately notify the carrier and Carotte & Cie customer service of any anomaly observed (impact, damaged package, delivery date not in line with normal delivery service times) within a maximum of 3 days. If such remarks were not made on the delivery slip presented to the Customer by the carrier, no claim relating to the condition of the package(s) can be accepted retrospectively by Carotte & Cie. If the 3-day deadline is respected, a new product will then be shipped to the customer at no additional cost or a credit note will be issued to place a new order on the site.

Delivery delays due to the carrier.
In the event of a delivery delay compared to the times announced by the carriers, the Customer must first contact the carrier or its distribution office in the case of La Poste, to see if the package is being held. If necessary, the Customer can contact Carotte & Cie Customer Service by phone or email to open a dispute or investigation file to search for the package.
It happens that packages are misplaced by carriers. The deadlines imposed by carriers require the Customer to declare the loss within 10 days of receiving the shipping notice from Carotte & Cie. Under these conditions, Carotte & Cie will make the necessary claims to the concerned carrier. Once the claim and the investigation have been initiated, it may take 3 to 4 weeks to get a response from the carrier.
If the package is found, it will be immediately rerouted to the Customer's home. In the event that the package is not found, Carotte & Cie cannot be held responsible. However, depending on the case, a credit note for the total or partial amount of the order may be issued.


Damaged packages.
The Customer must check the condition of the package in the presence of the carrier and make the necessary reservations on the delivery note in the event of partial or total deterioration. In the absence of reservations, the product is deemed accepted by the Customer and cannot be subject to any dispute regarding its delivery. The Customer must inform Carotte & Cie by email as soon as possible, so that Carotte & Cie can take the necessary measures as quickly as possible.


Article 9: Right of withdrawal, return & exchange

In the context of distance selling (without the simultaneous physical presence of the parties), the Customer has, in accordance with Article L 121-20 of the French Consumer Code, a period of fourteen (14) clear days to exercise their right of withdrawal without having to pay penalties, with the exception of the costs of returning the products concerned. This period runs from the day of receipt of the goods by the Customer.
All Products delivered in Europe can be reimbursed.
Products must be returned intact, complete, and suitable for remarketing to the following address: Carotte & Cie, 61 boulevard de Strasbourg, 59100 Roubaix (France).
If the above conditions are met, Carotte & Cie will reimburse the buyer, as soon as possible, and within a maximum period of thirty (30) days from the date of notification to Carotte & Cie of the right of withdrawal, the sums paid by the buyer, with the exception, however, of the costs of returning the products, which remain the responsibility of the buyer (except for a defective product upon receipt or an order error).
If the buyer does not return their entire order and keeps one or more ordered products, the amount of the "outward" delivery costs will be retained by Carotte & Cie.


Article 10: Responsibilities

The products offered comply with French legislation in France. Carotte & Cie cannot be held responsible in the event of non-compliance with the legislation of the country where the product is delivered. It is the Customer's responsibility to check with local authorities the possibilities of importing or using the products they intend to order.
Carotte & Cie cannot be held responsible for the inconveniences and damages related to the use of the Internet network, such as service interruptions, the presence of computer viruses or external intrusions, and more generally all cases qualified as force majeure or acts of third parties by the courts.
Hypertext links may direct to sites other than www.carotteetcie.com. Carotte & Cie disclaims all responsibility in the event that the content of these sites violates current legal and regulatory provisions.


Article 11: Force majeure

Neither party shall be liable for any failure to perform its contractual obligations, to the extent that such performance is delayed, hindered, or prevented by a fortuitous event or force majeure.
A case of force majeure shall be considered any irresistible, external, unforeseeable, unavoidable fact or circumstance, independent of the will of the parties, and which cannot be prevented by them, despite all reasonably possible efforts.
The party affected by such circumstances shall notify the other within ten working days following the date on which it became aware of them.
The two parties will then, within one month, unless impossible due to the force majeure event, meet to examine the impact of the event and agree on the conditions under which the performance of the contract will be continued.
If the force majeure event lasts for more than three months, these general conditions may be terminated by the injured party.
Expressly, the following are considered cases of force majeure or fortuitous events, in addition to those usually recognized by the jurisprudence of French courts and tribunals:
– Total or partial strikes, internal or external to the company, blockage of transport or supply means for any reason whatsoever, governmental or legal restrictions, computer breakdowns, earthquakes, fires, storms, floods, lightning;
– Interruption of telecommunication networks or difficulties specific to telecommunication networks external to Customers.


Article 12: Personal data

Visitors or Customers of the www.carotteetcie.com site have at any time a right to access, modify, rectify, and delete data concerning them, in application of Article 34 of the "Information Technology and Freedoms" law of January 6, 1978.
When registering a Customer or placing an order, or as part of other specific operations, Carotte & Cie offers Visitors or Customers to receive its newsletters, promotional offers, and/or to register to be informed of its exclusive sales. The Visitor or Customer can at any time modify their subscription through their personal account.
Carotte & Cie undertakes to effectively take into account subscription modifications and unsubscriptions to commercial emails disseminated by it as soon as possible, depending on the necessary processing.


Article 13: Intellectual property

All content (texts, comments, works, illustrations, images, videos, graphics, sounds, etc., including the underlying technologies used) displayed on this site is reserved under copyright and intellectual property rights worldwide. As such and in accordance with the provisions of the Intellectual Property Code, only private use is authorized, subject to different or more restrictive provisions of the intellectual property code. If a condition is not explicitly mentioned, it shall be considered governed by the practices in force in the distance selling sector for companies based in France.
The relations between Carotte & Cie and the Customer are exclusively governed by these conditions, to the exclusion of any other condition appearing on the website www.carotteetcie.com.


Article 15: Duration and applications

These Conditions apply for the entire duration of the online availability of the services offered by Carotte & Cie. They are subject to change at any time by Carotte & Cie. The applicable Conditions are those in force on the date the order is registered.


Article 16: Territoriality and applicable law

Sales of Carotte & Cie products are subject to French law. Any dispute relating to the existence, interpretation, execution or breach of the contract concluded between Carotte & Cie and the Customer, even in the event of multiple defendants, will, in the absence of an amicable agreement, fall under the exclusive jurisdiction of the courts of Lille. www.carotteetcie.com complies with French legislation, and in no case does Carotte & Cie guarantee compliance with the local legislation applicable to you, if you access the Website from other countries.

Otherwise, any dispute will be subject to the exclusive jurisdiction of the courts within the jurisdiction of the Court of Appeal, subject to a specific attribution of jurisdiction arising from a particular legal or regulatory text.
